Terms of Service

These Terms of Service ("Terms") are an agreement between you and BidSignal ("BidSignal", "we", "us") covering your use of the BidSignal website at bidsignal.co and the BidSignal opportunity alert service (together, the "Service"). By subscribing to or using the Service, you agree to these Terms. If you are using the Service for a company, you confirm you have authority to accept these Terms on its behalf, and "you" includes that company.

1. What BidSignal does

BidSignal reviews publicly available federal contract opportunity data published by SAM.gov and emails you notices that match the profile you give us, such as NAICS codes, keywords, certifications and states. Each alert includes a link to the official notice.

2. Not affiliated with the government

BidSignal is an independent business. We are not affiliated with, endorsed by, or acting on behalf of SAM.gov, the General Services Administration, or any U.S. government agency. Nothing in the Service is an official government notice.

3. Information accuracy and no guarantee of results

Opportunity data comes from SAM.gov's public data extracts, which can be incomplete, delayed, amended or withdrawn. Our matching is automated and may miss relevant opportunities or include ones that don't fit you. Always confirm every detail, including eligibility, set-asides and deadlines, in the official notice before relying on it. You are solely responsible for deciding which opportunities to pursue and for meeting all submission requirements. We do not guarantee that you will find, bid on, or win any contract.

4. Your account and profile

You agree to give us a valid email address and accurate profile information, and to keep them up to date. You are responsible for the certifications you tell us you hold; we use them only to filter alerts and do not verify them. Each subscription is for one business and one recipient email address.

6. Acceptable use

The alerts are for your own business's use. You agree not to resell, republish or redistribute BidSignal alerts as a competing service; not to scrape, overload or attempt to break into the Service; not to share access with other companies; and not to use the Service for anything unlawful.

7. Our intellectual property

The underlying opportunity data is public government information. The BidSignal name, website, software, matching methods and the format of our alerts belong to us. These Terms don't give you any rights to them except to use the Service as described.

8. Availability and changes

We aim to send alerts every day but don't guarantee the Service will be uninterrupted or error-free. SAM.gov outages, data changes, email delivery problems or maintenance may delay or prevent alerts. We may improve or change the Service over time; if we make a change that materially reduces what you're paying for, you may cancel.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST CONTRACTS, LOST BUSINESS OPPORTUNITIES OR MISSED DEADLINES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to defend and indemnify us against claims arising from your misuse of the Service or your violation of these Terms.

12. Termination

We may suspend or end your access if you materially breach these Terms, for example by redistributing alerts or not paying. You may stop using the Service and cancel at any time. Sections 3, 7, 9, 10, 11 and 13 survive termination.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Florida, and you and we consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll email subscribers at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
